1. Introduction and Acceptance

Welcome to Bloom Platform ("Bloom," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Bloom platform, including our website, applications, APIs, and all related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

2. Service Description

Bloom is an AI-powered business management platform designed for small businesses. The Service provides tools for customer relationship management (CRM), invoicing and payments, AI-powered agents, project management, document processing, team collaboration, custom app building, and business analytics. The specific features available to you depend on your subscription plan.

3. Account Terms

3.1 Registration

To use the Service, you must create an account by providing accurate, current, and complete information. You must be at least 13 years of age to create an account. If you are under 18, you must have the consent of a parent or legal guardian.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at legal@bloomplatform.com if you become aware of any unauthorized use of your account.

3.3 Account Termination

You may terminate your account at any time through your account settings or by contacting us. We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a security risk. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days following termination, after which it may be permanently deleted.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Send spam, unsolicited messages, or engage in abusive communication
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to store or transmit content that is illegal, defamatory, or infringes intellectual property rights
• Interfere with or disrupt the integrity or performance of the Service
• Use automated means to access the Service beyond the provided APIs
• Resell or redistribute the Service without our written consent

5. Intellectual Property

The Service, including its design, code, features, documentation, and all related intellectual property, is owned by Bloom Platform and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited license to use it as described herein.

You retain ownership of all content, data, and materials you submit to the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to use, process, store, and display Your Content solely to provide and improve the Service. We will not sell your content or use it for advertising purposes.

If you provide suggestions, ideas, or feedback about the Service, we may use it without restriction or obligation to you.

6. Payment Terms

6.1 Subscription Plans

The Service is offered through various subscription plans, including a free tier with limited features. Paid plans are billed on a monthly or annual basis, as selected at the time of purchase. Plan details and pricing are available on our pricing page.

6.2 Payment Processing

Payments are processed through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge the applicable subscription fees. All fees are stated in US dollars unless otherwise noted.

6.3 Billing and Renewals

Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period, and you will retain access until then.

6.4 Refunds

6.5 Price Changes

We may change our prices from time to time. Price changes will be communicated at least 30 days in advance via email and will take effect at the start of your next billing period.

7. Data Handling

Your privacy is important to us. Our collection, use, and handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes that may negatively affect your use of the Service. Scheduled maintenance windows will be communicated in advance when possible.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLOOM PLATFORM AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Bloom Platform and its affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal proceeding, you agree to attempt to resolve disputes informally by contacting us at legal@bloomplatform.com. We will attempt to resolve the dispute within 30 days.

12.2 Arbitration

If informal resolution fails, any dispute arising out of or related to these Terms shall be resolved through binding arbitration administered by a mutually agreed-upon arbitration service, rather than in court. You agree that any arbitration will be conducted on an individual basis and not as a class, consolidated, or representative action.

12.3 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

14. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Bloom Platform regarding the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
